Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

Use of Modified Applications

TelegramModX provides modified versions of Telegram applications (MOD APK) that are not official Telegram products. By downloading or using these modified applications, You acknowledge and agree that:

Modified applications are developed based on Telegram’s open-source code
These applications are not endorsed or verified by Telegram FZ-LLC
Use of modified applications may violate Telegram’s Terms of Service
Your Telegram account may be subject to suspension or termination
You assume all risks associated with using modified applications
The Company is not responsible for any account restrictions or bans
Modified applications may have security vulnerabilities or compatibility issues

You agree to use modified applications at Your own risk and hold the Company harmless from any consequences arising from such use.

Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of TelegramModX and Alina Haseeb. The Service is protected by copyright, trademark, and other laws of Pakistan and foreign countries.

Telegram® is a registered trademark of Telegram FZ-LLC. We use the name “Telegram” for descriptive and informational purposes only. We are not affiliated with, endorsed by, or associated with Telegram FZ-LLC.

Our modified applications are based on Telegram’s open-source code, which is licensed under GPL v2/v3. Our modifications comply with open-source licensing requirements.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on Our Service, except as permitted by applicable open-source licenses or with Our express written permission.

User Conduct and Prohibited Activities

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. You specifically agree not to:

Use the Service in any manner that could damage, disable, overburden, or impair the Service
Attempt to gain unauthorized access to any portion of the Service
Use any automated means to access the Service for any purpose without Our express written permission
Interfere with or disrupt the Service or servers or networks connected to the Service
Engage in any activity that violates any applicable local, state, national, or international law
Distribute malware, viruses, or any other harmful code
Harass, abuse, or harm another person or entity

Infringe upon the intellectual property rights of others
Redistribute modified applications for commercial purposes without permission

Violation of these prohibited activities may result in immediate termination of Your access to the Service.

Downloads and File Usage

By downloading files from TelegramModX, You acknowledge and agree that:

Files are provided “AS IS” without warranties of any kind
The Company tests files for viruses and malware but cannot guarantee 100% safety
You are responsible for scanning downloaded files with Your own antivirus software
You assume all risks associated with downloading and installing applications
Downloaded applications may not be compatible with all devices or operating systems
The Company is not responsible for any damage to Your device or data loss
You will use downloaded applications in compliance with all applicable laws

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

User-Generated Content

Our Service may allow You to post comments, feedback, and other content (“User Content”). By submitting User Content, You grant Us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and promoting the Service.

Termination

Effect of Termination:

Your access to the Service will be immediately revoked
You must cease all use of downloaded applications and content
Provisions regarding disclaimers, limitations of liability, and indemnification will survive termination

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven’t purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. You agree to indemnify, defend, and hold harmless TelegramModX, Alina Haseeb, and Our affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

Your use of and access to the Service
Your violation of these Terms and Conditions
Your violation of any third-party rights, including intellectual property rights
Any User Content You submit or transmit through the Service
Any damage or harm caused by downloaded applications
Your use of modified applications in violation of Telegram’s Terms of Service

This indemnification obligation will survive the termination of these Terms and Your use of the Service.

Governing Law

The laws of the Country (Pakistan), excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Any disputes arising from these Terms or Your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Lahore, Pakistan.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at [email protected].

Informal Resolution Process:

Contact Us with a detailed description of Your dispute
We will attempt to resolve the matter within 30 days
If informal resolution fails, legal action may be pursued

Binding Arbitration: Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the laws of Pakistan, except where prohibited by law.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

GDPR Compliance: EU users have additional rights under the General Data Protection Regulation (GDPR), including:

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
